Brapps LLC — QuickBooks Online Connector

1. Acceptance of Terms

By using the Brapps QuickBooks Online Connector (the "App"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute the agreement between Brapps LLC ("Brapps") and the Client for use of the App, in addition to any separate service agreement in place.

2. Description of Service

The App is a private integration tool that enables a one-way, automated synchronization of accounting and inventory data from the Client's Odoo ERP system into the Client's QuickBooks Online (QBO) company. Specifically, the App syncs:

Posted customer invoices, including line items, customer billing information, payment terms, and due dates
Inventory valuation journal entries (monthly category-level asset and COGS adjustments)

The App does not sync purchase orders, bills, payments, or inventory quantities. Sync is one-way only: Odoo to QuickBooks Online. No data is written back to Odoo from QBO.

3. Authorization and Access

The Client authorizes Brapps to connect to their QuickBooks Online company via Intuit's OAuth 2.0 API on the Client's behalf. The Client must maintain an active QuickBooks Online subscription with sufficient permissions to allow the App to create and update invoices and journal entries. The Client may revoke this authorization at any time through their QuickBooks Online account settings.

4. Client Responsibilities

The Client is responsible for:

Maintaining accurate data in their Odoo system prior to synchronization
Mapping Odoo chart of accounts to the appropriate QuickBooks Online accounts before enabling sync
Reviewing synced records in QuickBooks Online for accuracy
Ensuring their use of the App complies with all applicable laws and their QuickBooks Online subscription terms
Maintaining the confidentiality of their Odoo and QuickBooks Online credentials

5. Prohibited Uses

The Client may not:

Resell, sublicense, or distribute the App to any third party
Attempt to reverse engineer, decompile, or extract the App's source code
Use the App to process data belonging to companies other than their own
Use the App to circumvent QuickBooks Online's terms of service

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BRAPPS DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DATA WILL SYNC SUCCESSFULLY AT ALL TIMES. SYNC AVAILABILITY DEPENDS ON BOTH ODOO AND QUICKBOOKS ONLINE API AVAILABILITY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAPPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE APP, INCLUDING BUT NOT LIMITED TO ACCOUNTING ERRORS, LOST DATA, OR DISCREPANCIES BETWEEN ODOO AND QUICKBOOKS ONLINE RECORDS. BRAPPS'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THE INTEGRATION SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Modifications

Brapps reserves the right to modify the App and these Terms at any time. Material changes will be communicated to the Client. Continued use of the App after notice of changes constitutes acceptance of the revised Terms.

9. Termination

Either party may terminate the Client's use of the App at any time with written notice. Upon termination, the Client should revoke the App's QuickBooks Online authorization through their QBO account. Brapps will not retain any Client data after termination.

10. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate courts of Salt Lake County, Utah.
